Stratulat Albulescu advises GapMinder on investment in Fintech OS

Stratulat Albulescu (SAA) was delighted to act, again, as legal advisers to GapMinder, this time in connection with its investment in Fintech OS.

GapMinder collaborates with universities, the UN, public agencies and non-governmental organisations being the first venture capital fund created as a result of the selection process started by the European Investment Fund.

Primarily financed by the Competitiveness Operational Programme 2014-2020, with the European Regional Development Fund providing a share of the capital, the fund acts as part of the European Cohesion Policy. The Competitiveness Operational Programme 2014-2020 (“COP”) supports investments that aim to address the challenges stemming from minimal support for research, development and innovation and the under-developed information and communication technology services and infrastructure. By investing in these areas, the COP aims to contribute funds to bolster the competitiveness of the Romanian economy.

Fintech OS is a company specialising in the digital transformation of financial institutions and has a $5bn managed assets portfolio and operates on 3 continents. The company started less than a year ago, has grown quickly and aims to become the number 1 facilitator of digital innovation in financial institutions worldwide.

The total investment amounts to EUR 600k, being partly for an increase in share capital and also for loan convertible equity of EUR 500k. The investment will finance the expansion of operations globally and accelerate the development of AI technologies.

SAA’s team, which included Managing Partner Silviu Stratulat, Managing Associate Cristina Man and Head of IP Ana Kusak, provided assistance including performing the due diligence on the company, drafting the investment documentation (shareholders’ agreement, share purchase agreements, updated company corporate documents and all relevant transactional documentation) as well as assisting with the completion of the documents and the implementation of the investment.
